Terms of Service

These Terms of Service ("Terms") govern access to and use of the website, platform, APIs, products, and services (collectively, the "Services") provided by Delpa Tech UAB, a company registered in Lithuania with its registered address at Žalgirio g. 88-101, Vilnius, Lithuania ("DELPA", "Company", "we", "our", or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

 

1. Eligibility

 

The Services are intended solely for businesses, legal entities, and authorized representatives acting on behalf of such entities. By using the Services, you represent and warrant that:

  • You are at least 18 years old;

  • You have full legal authority to bind the entity you represent;

  • Your use of the Services complies with all applicable laws and regulations;

  • You are not subject to sanctions or restrictions imposed by any applicable authority.

DELPA reserves the right to refuse or restrict access to any user at its discretion, subject to applicable law.

2. Scope of Services

 

DELPA provides enterprise-grade crypto payment and digital asset infrastructure, including but not limited to:

  • Crypto payment processing solutions;

  • Digital asset settlement services;

  • Merchant and platform payment infrastructure;

  • Wallet-as-a-Service (WaaS);

  • Treasury and liquidity management tools;

  • APIs, SDKs, and integration tools;

  • Compliance and risk management infrastructure.

 

Services may vary by jurisdiction and affiliated entity. Not all products or features are available in all regions.

DELPA may modify, suspend, or discontinue any part of the Services at any time.

 

3. Regulatory Status

 

DELPA operates through affiliated entities registered and regulated in multiple jurisdictions. Regulatory oversight, permissions, and authorized activities vary by entity and location.

Nothing in the Services constitutes legal, financial, tax, or investment advice. Users are solely responsible for determining the legality and suitability of the Services within their jurisdiction.

 

4. Account Registration and Onboarding

 

Access to certain Services requires successful onboarding, identity verification, and compliance checks, including KYC and AML procedures.

 

You agree to:

  • Provide accurate, complete, and up-to-date information;

  • Promptly update any changes to your information;

  • Cooperate with compliance and due diligence requests;

  • Maintain the confidentiality of account credentials.

 

DELPA may suspend, restrict, or terminate accounts that fail to meet compliance requirements.

 

5. Acceptable Use

 

You agree not to use the Services:

  • For unlawful, fraudulent, or deceptive activities;

  • In violation of sanctions, export controls, or regulatory requirements;

  • To facilitate money laundering, terrorist financing, or other illicit activities;

  • To transmit malicious code or disrupt platform integrity;

  • In a manner that interferes with system security or performance.

 

DELPA reserves the right to monitor transactions and activity for compliance and security purposes.

 

6. Digital Assets and Transaction Risks

 

Digital assets and blockchain-based transactions involve significant risks, including volatility, irreversible transactions, network failures, and regulatory uncertainty.

 

You acknowledge and agree that:

  • Blockchain transactions may be irreversible;

  • DELPA does not control underlying blockchain networks;

  • Transaction confirmation times may vary;

  • Loss of private keys or credentials may result in permanent loss of assets;

  • Market value of digital assets may fluctuate significantly.

 

You assume full responsibility for risks associated with digital asset transactions.

 

7. Fees and Payment

 

Fees for Services are defined in applicable agreements, pricing schedules, or custom enterprise arrangements.

 

Unless otherwise agreed:

  • All fees are exclusive of taxes;

  • You are responsible for applicable taxes and regulatory levies;

  • Fees may be deducted from settlement amounts where applicable;

  • DELPA may revise pricing upon notice.

 

8. Security and Safeguards

 

DELPA implements enterprise-grade security measures, including encryption, key management controls, monitoring, and operational safeguards.

 

However, you acknowledge that no system is completely secure. You are responsible for:

  • Protecting API keys and credentials;

  • Implementing internal security controls;

  • Promptly reporting suspected security incidents.

 

9. Compliance and Reporting

 

DELPA integrates AML, KYC, transaction monitoring, and blockchain analytics into its Services. You agree to:

  • Comply with all applicable financial regulations;

  • Maintain appropriate internal compliance procedures;

  • Provide requested documentation for audits or regulatory inquiries.

 

DELPA may report suspicious activity to competent authorities where required by law.

 

10. Intellectual Property

 

All intellectual property rights in the Services, including software, APIs, documentation, branding, and content, are owned by DELPA or its licensors.

Subject to compliance with these Terms, DELPA grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

 

You may not:

  • Reverse engineer or attempt to extract source code;

  • Modify or create derivative works;

  • Resell or sublicense the Services without written authorization.

 

11. Confidentiality

 

Each party may receive confidential information from the other. The receiving party agrees to:

  • Use confidential information solely for purposes of the Services;

  • Protect it using reasonable security measures;

  • Not disclose it to third parties except as required by law.

 

This obligation survives termination of these Terms.

 

12. Data Protection

 

DELPA processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable.

Where DELPA acts as a processor on behalf of a client, a separate data processing agreement may apply.

You represent that you have a lawful basis for any personal data shared with DELPA.

 

13. Service Availability and SLAs

 

DELPA aims to provide high availability and operational reliability. Service-level commitments, if any, are defined in separate agreements.

 

DELPA does not guarantee uninterrupted or error-free operation of the Services.

 

14. Limitation of Liability

 

To the maximum extent permitted by law:

  • DELPA shall not be liable for indirect, incidental, consequential, or punitive damages;

  • DELPA's total aggregate liability shall not exceed the fees paid for the Services in the twelve (12) months preceding the claim;

  • DELPA is not liable for losses arising from third-party systems, blockchain networks, or force majeure events.

 

Nothing in these Terms excludes liability that cannot be limited under applicable law.

 

15. Indemnification

 

You agree to indemnify and hold harmless DELPA, its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Services;

  • Violation of these Terms;

  • Breach of applicable laws or regulations;

  • Disputes with your customers or third parties.

 

16. Suspension and Termination

 

DELPA may suspend or terminate access to the Services if:

  • Required by law or regulatory authority;

  • You breach these Terms;

  • There is suspected fraudulent or unlawful activity;

  • Continued provision of Services presents unacceptable risk.

 

Upon termination, outstanding obligations remain payable.

 

17. Force Majeure

 

DELPA shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, cyberattacks, regulatory changes, network failures, or acts of government.

 

18. Governing Law and Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Lithuania, unless otherwise agreed in a separate written agreement.

 

19. Amendments
 

DELPA may update these Terms from time to time. Updated versions will be published on the website with a revised effective date.

Continued use of the Services constitutes acceptance of the updated Terms.

20. Miscellaneous
 

  • These Terms constitute the entire agreement unless supplemented by a separate written agreement.

  • If any provision is found unenforceable, the remaining provisions remain in effect.

  • Failure to enforce any provision does not constitute a waiver.

  • You may not assign your rights without DELPA's written consent.
